These Terms govern your use of Paygentic (paygentic.market) and its API (api.paygentic.online), a non-custodial AI-assisted marketplace operated by Eternal Digital Assets Corp.

By accessing, browsing, or using Paygentic's website (paygentic.market), its API (api.paygentic.online), services, software, or any associated documentation (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
If you do not agree to these Terms in their entirety, you must immediately cease all use of the Services. Your continued use of any part of the Services after the posting of revised Terms constitutes your acceptance of those revised Terms.
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Eternal Digital Assets Corp. ("Eternal Digital Assets Corp.," "we," "us," or "our"), a technology company operating under the laws of the Province of Ontario, Canada, with patent pending application CIPO 3,304,029 / PCT/IB2026/052205.
Paygentic is an AI-assisted marketplace where autonomous AI agents and their owners buy and sell listed assets, including domains and other deals. Paygentic is not a wallet, exchange, custodian, broker, or transaction service; it does not execute, sign, broker, or take custody of blockchain transactions or assets. The Services include the following components:
Marketplace: A listing and matching system for deals, priced by Buy-now or offered through seller-started auctions. Listing a deal requires proven on-chain control of the asset.
Agents: An optional AI agent, represented on-chain as an ERC-6551 token-bound account, that can browse, evaluate, and — within spending permissions you grant and cap — buy or sell on your behalf.
Deal Evaluations: An AI system that reviews listed deals and produces plain-English determinations. Determinations are informational only and are not financial, legal, tax, or investment advice.
Site Assistant: A conversational AI that answers questions about how the marketplace works. It answers product questions only and does not provide financial, legal, tax, or investment advice.
Payment Rails: Paygentic supports crypto payment (including agent spending permissions and direct wallet payment) and card payment processed through a third-party payment processor. Paygentic never sees or stores your card number. The payment leg of any card transaction is additionally governed by the payment processor's own terms, and any card dispute or chargeback is handled under the processor's rules and the applicable card network's rules.
Testnet Phase: Paygentic currently operates on test blockchain networks. Card purchases processed through the payment processor are real-money transactions. Where a listing is priced or paid in crypto during this phase, the amount is testnet USDC and carries no real-world value.
Network Support: Paygentic supports listings and payments across multiple EVM-compatible blockchain networks. Coverage on specific networks may vary and is not guaranteed.
You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to use the Services.
You represent and warrant that:
(a) You are not located in, under the control of, or a national or resident of any country subject to comprehensive sanctions by Canada, the United States, the European Union, or the United Nations, including but not limited to Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine.
(b) You are not on any sanctions list maintained by Global Affairs Canada, the U.S. Office of Foreign Assets Control (OFAC), the EU, or the UN Security Council.
(c) You are not prohibited by applicable law from using blockchain technology, cryptocurrency, or AI-powered marketplace services.
(d) Your use of the Services will comply with all applicable local, provincial, national, and international laws and regulations.
Paygentic reserves the right to restrict or terminate access to the Services for any User in any jurisdiction at our sole discretion, without notice or liability.
THIS SECTION IS CRITICAL TO YOUR UNDERSTANDING OF THE SERVICES.
Paygentic is a non-custodial marketplace. Paygentic does not, at any time, for any reason, under any circumstances:
(a) Hold, store, access, generate, recover, or control your private keys or seed phrases.
(b) Take custody of, hold, store, or control your cryptocurrency, tokens, NFTs, domains, or any other digital assets.
(c) Operate as a wallet, exchange, custodian, broker, dealer, investment advisor, or financial institution.
The spending permissions key, stated plainly. Your agent's account is an ERC-6551 token-bound account. It has no seed phrase and no private key of its own — whoever holds the agent NFT controls it, and its address is derived from the token itself. For your agent to act, something has to be able to sign. That something is a spending permissions key: a separate key generated in your own browser and held by you alone. Paygentic records only its public address — we never see, store, or transmit the key itself. It is not your wallet key and it cannot touch your wallet. It can do nothing at all until you, as the holder of the agent NFT, grant it on-chain — and what you grant is what bounds it: a settlement currency, a per-transaction cap, a daily cap, an expiry, and a deny-by-default list of the only addresses it may touch. You can revoke that key, or pause every key on the agent, at any time, from your own wallet. If you want your agent to act while you are away from the keyboard, you run its software on hosting you control, with the key you hold — Paygentic cannot sign for it.
So, precisely: we never hold any private key — not your wallet's, and not your agent's — and we never hold your funds. Whoever holds the spending permissions key can move the agent account's funds inside the caps you granted, so guard it the way you guard any key.
You are solely responsible for:
(a) Securing your private keys, seed phrases, and wallet credentials.
(b) Any transaction you or your agent make, whether or not you used Paygentic for information or evaluation beforehand.
(c) Maintaining backup access to your wallet independent of Paygentic's Services.
If you lose your private keys or seed phrases, Paygentic cannot recover them. Paygentic has no ability to reverse, cancel, or modify any blockchain transaction once it has been broadcast to the network.
Paygentic charges a commission on completed transactions — currently 5% of a completed deal — and posts prices as set by sellers or produced by the applicable auction format. Commission rates and posted prices may change at any time; the rate and price in effect at the time a deal completes apply to that deal.
Paygentic makes no guarantee that any listing will sell, that any bid will be accepted, or that using the Services will produce a profit. Deal evaluations and any other AI-generated determination on the Services are probabilistic assessments generated by machine learning systems. They are informational only — not guarantees, promises, financial advice, investment advice, or professional advice of any kind. AI outputs may contain errors, omissions, or inaccuracies that appear authoritative. You acknowledge and accept that:
(a) No AI system is infallible.
(b) Paygentic's determinations and assistant responses are advisory in nature and inform, but do not replace, your own judgment.
(c) Any decision you make based on Paygentic's information remains solely yours.
(d) AI system availability, accuracy, and performance may vary.
(e) Paygentic may update, modify, retrain, or replace the AI systems behind the Services at any time without notice.
Determinations can be wrong in both directions. Because determinations and evaluations are probabilistic AI outputs, a deal marked CLEAN can still turn out badly, and a deal marked FLAGGED can turn out to be sound, suitable business. A determination informs your decision — it is not a guarantee, a warranty, an endorsement, or financial, legal, tax, or investment advice, and it does not make the decision for you. You, or your authorized agent acting within the mandate you set, make the decision, and you bear responsibility for it.
You must independently confirm before you rely. You must not rely on any Output, determination, evaluation, score, or assistant answer without independently confirming its accuracy through your own review of the underlying facts, including the relevant on-chain record. You must evaluate every Output for accuracy and appropriateness for your purpose, including by human review, before using, acting on, or sharing it. Where a decision carries material financial, legal, or safety consequences, human review is required and is your responsibility, not ours.
The agent reputation score. The Services may show a reputation score for an agent. The score is arithmetic. Software adds up things that already happened in public — transactions on the blockchain, and the record of what an agent did on this marketplace — and produces a number. No person reviews it, and no judgment about anybody is being made.
It is a score about an agent's recorded activity. It is not a credit score, a credit report, a background check, an identity check, or an opinion about the character or trustworthiness of any person, and it must not be used or presented as any of those. It says nothing about the human being behind an agent, because we do not collect information about them. What we keep is small and it is all supplied by the owner or generated by the marketplace itself: an email address, a wallet address, what the owner typed into their own agent — its mandate and its profile — and the mechanical record of what that agent did here, such as deals closed, bids placed, and settlements. We do not keep transcripts of your conversations with the site assistant; we count turns, nothing more. Everything else a score is built from is already public on the blockchain.
A score can be incomplete, out of date, or wrong, and it can miss activity we never saw. We can recalculate, correct, suspend, or withdraw any score at any time. Nobody is entitled to a particular score, to keep a score, or to have it calculated a particular way. We are not liable for any decision anyone makes on the strength of a score, or for any loss that follows — whether the person relying on it is the agent's owner, a counterparty, or anyone else.
Testnet phase, and no refunds. While the Services operate on test blockchain networks, amounts denominated or paid in testnet currency carry no real-world value, buy no real asset, and cannot be redeemed, exchanged, or returned. Where purchases are suspended or a halt notice is displayed on the Services, you must not send any payment; any value you transmit while purchases are suspended, or to any address not presented to you by the Services in a completed checkout flow, is sent at your sole risk and we cannot recover or return it. Except where a refund is required by applicable law or is expressly granted by us in writing at our sole discretion, all commissions and fees are non-refundable. Card payments are additionally subject to the payment processor's refund, dispute, and chargeback rules.
You agree not to use the Services to:
(a) Engage in, facilitate, or promote any illegal activity, including money laundering, terrorist financing, fraud, theft, or sanctions evasion.
(b) Attempt to reverse-engineer, decompile, disassemble, or derive the source code, algorithms, or architecture of Paygentic's proprietary AI systems or software.
(c) Attempt to circumvent, disable, or interfere with Paygentic's security features or AI systems.
(d) Submit fabricated, manipulated, or adversarial data designed to deceive or poison Paygentic's AI systems.
(e) Use automated scripts, bots, or other tools to abuse, overload, or denial-of-service attack Paygentic's infrastructure.
(f) Impersonate Paygentic, its affiliates, or its personnel.
(g) Redistribute, resell, sublicense, or white-label Paygentic's Services without express written authorization.
(h) Use the Services in connection with child exploitation material, weapons of mass destruction, or human trafficking.
(i) Interfere with or disrupt the integrity or performance of the Services or any data contained therein.
(j) Harvest, scrape, or collect data from the Services for any purpose not expressly permitted.
(k) Use the Services, the Inputs, or the Outputs to train any artificial intelligence model, machine learning model, or competing service, whether for your own use, for a third party, or for public release.
(l) Export, re-export, or transfer the Services or related technical data to any destination or person prohibited by applicable export controls, including but not limited to the U.S. Export Administration Regulations and equivalent regimes, in addition to the sanctions compliance requirements set forth elsewhere in these Terms.
(m) Use any Output relating to a person or entity for any purpose that could have a legal or material impact on them — including making credit, lending, educational, employment, housing, insurance, immigration, legal, or medical decisions about them, or determining their eligibility for any benefit or service — or present any Output as a consumer report, credit assessment, background check, or identity verification.
(n) Rely on the Services, or hold them out to others, as a compliance, sanctions-screening, anti-money-laundering, know-your-customer, audit, or fraud-prevention control, or as a substitute for one. The Services are not designed, tested, or offered for those purposes, and you remain solely responsible for your own regulatory obligations.
(o) Use the Services in or for any application where failure, error, or inaccuracy could reasonably be expected to lead to death, personal injury, or severe physical, environmental, or financial harm.
(p) Republish, syndicate, or present any Output, determination, or score as the independent finding of Paygentic about a named third party, or in a manner reasonably likely to defame, harass, or cause reputational or economic harm to the person or entity it concerns.
Paygentic reserves the right to suspend or terminate your access to the Services immediately, without notice, for any violation of this Acceptable Use Policy. We may also report suspected illegal activity to the appropriate law enforcement authorities.
Patent: The Eternal Digital Assets Corp. AI reasoning and consensus mechanism is the subject of patent application CIPO 3,304,029 / PCT/IB2026/052205 filed with the Canadian Intellectual Property Office. The patent covers proprietary methods and systems for AI reasoning and consensus. Unauthorized use, reproduction, or implementation of the patented methods is prohibited and may result in legal action.
Business Source License: Eternal Digital Assets Corp.'s proprietary source code, including but not limited to the Paygentic marketplace software and its orchestration logic, is licensed under the Business Source License 1.1 (BUSL-1.1). You may not use, copy, modify, or distribute the proprietary code for production or commercial purposes without a separate commercial license from Paygentic.
Trademarks: "Paygentic," the Paygentic logo, and associated brand elements are trademarks or service marks of Eternal Digital Assets Corp. You may not use these marks without prior written permission, except for truthful, non-misleading references to Paygentic's Services in editorial or informational contexts.
Nothing in these Terms grants you any right, title, or interest in Paygentic's intellectual property except as expressly stated.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PAYGENTIC, ITS FOUNDERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, LICENSORS, OR AI SYSTEM PROVIDERS BE LIABLE FOR ANY:
(a) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
(b) LOSS OF FUNDS, TOKENS, DIGITAL ASSETS, DOMAINS, OR CRYPTOCURRENCY OF ANY KIND;
(c) LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, DATA, OR GOODWILL;
(d) COST OF PROCUREMENT OF SUBSTITUTE SERVICES;
(e) DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
(f) DAMAGES ARISING FROM THE CONDUCT OF ANY THIRD PARTY ON OR RELATED TO THE SERVICES;
(g) DAMAGES ARISING FROM ANY ERROR, OMISSION, OR INACCURACY IN PAYGENTIC'S AI OUTPUTS OR INFORMATION;
(h) DAMAGES ARISING FROM SERVICE INTERRUPTIONS, DOWNTIME, NETWORK CONGESTION, OR BLOCKCHAIN FAILURES;
(i) LOSS OR DAMAGE ARISING FROM AGENT TRANSACTIONS, AI AGENTS, OR ANY CONFIGURATION, GUIDANCE, SUGGESTION, OR EVALUATION PAYGENTIC OR ITS AI PROVIDED IN CONNECTION WITH AN AGENT, MANDATE, ALLOWANCE, WALLET, LISTING, OR PAYMENT, INCLUDING WHERE SUCH GUIDANCE IS ALLEGED TO HAVE BEEN INCORRECT OR THE CAUSE OF YOUR LOSS OF FUNDS;
(j) DAMAGES ARISING FROM ANY AI OUTPUT, DETERMINATION, EVALUATION, ASSISTANT ANSWER, OR AGENT-EXECUTED TRANSACTION, ALL OF WHICH ARE EXPRESSLY WITHIN THE EXCLUSIONS AND THE AGGREGATE CAP SET OUT IN THIS SECTION;
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT PAYGENTIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL PAYGENTIC'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICES EXCEED THE GREATER OF: (I) THE AMOUNT YOU PAID TO PAYGENTIC IN COMMISSIONS OR OTHER CONSIDERATION DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (II) ONE HUNDRED CANADIAN DOLLARS (CAD $100). THIS AGGREGATE CAP APPLIES TO EVERY CLAIM WITHOUT EXCEPTION, INCLUDING CLAIMS ARISING FROM AI OUTPUTS, DETERMINATIONS, EVALUATIONS, ASSISTANT ANSWERS, AND AGENT-EXECUTED TRANSACTIONS.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, Paygentic's liability shall be limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless Paygentic, its founders, directors, officers, employees, agents, contractors, affiliates, and licensors from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:
(a) Your use or misuse of the Services.
(b) Your violation of these Terms.
(c) Your violation of any applicable law, regulation, or third-party rights.
(d) Any transaction you, or an agent you authorized, initiate, sign, or execute.
(e) Any content, data, or materials you submit to or through the Services.
(f) Your negligence or willful misconduct.
(g) Any claim that your use of the Services caused damage to a third party.
This indemnification obligation survives the termination of these Terms and your use of the Services.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
PAYGENTIC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
(a) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
(b) ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
(c) ANY WARRANTY THAT PAYGENTIC'S AI OUTPUTS WILL BE ACCURATE, COMPLETE, OR RELIABLE.
(d) ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY AI-GENERATED OUTPUT.
(e) ANY WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
(f) ANY WARRANTY REGARDING THE SALE, VALUE, OR PERFORMANCE OF ANY LISTING OR DIGITAL ASSET TRANSACTED THROUGH THE SERVICES.
GIVEN THE PROBABILISTIC NATURE OF MACHINE LEARNING, AI-GENERATED OUTPUT MAY NOT BE ACCURATE, COMPLETE, OR CURRENT, AND MAY NOT REFLECT REAL ASSETS, EVENTS, OR FACTS EVEN WHERE IT APPEARS AUTHORITATIVE. YOU MUST NOT RELY ON ANY OUTPUT AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION, OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE. YOU MUST EVALUATE EVERY OUTPUT FOR ACCURACY AND FITNESS FOR YOUR PURPOSE, INCLUDING BY YOUR OWN HUMAN REVIEW WHERE THE DECISION MATTERS, BEFORE ACTING ON IT.
BLOCKCHAIN TECHNOLOGY, SMART CONTRACTS, AND AI SYSTEMS INVOLVE INHERENT RISKS INCLUDING BUT NOT LIMITED TO: SMART CONTRACT VULNERABILITIES, NETWORK CONGESTION, PROTOCOL-LEVEL ATTACKS, BRIDGE EXPLOITS, ORACLE MANIPULATION, MEV (MAXIMAL EXTRACTABLE VALUE) ATTACKS, AI SYSTEM HALLUCINATION, AND UNFORESEEN INTERACTIONS BETWEEN CONTRACTS. YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF THE SERVICES AND BLOCKCHAIN TECHNOLOGY GENERALLY.
Every determination is made for one transaction. A determination is produced for the specific transaction in front of it. It is measured against our catalogue of EVM transaction types, our library of known malicious patterns and exploits, and the mandate the agent's owner wrote themselves. Two transactions do not produce the same determination unless they are the same transaction. What we do not promise is that the determination is right. It is a reading of the facts available at that moment, and it can be wrong.
We do not build the AI, and we do not warrant it. The Services run on artificial-intelligence models and infrastructure built and operated by third parties. We do not write those models, train them, own them, or control them, and we cannot see their source code. We can change which ones we use at any time, without notice. Nobody in this industry offers a warranty on what an AI model produces, and we do not offer one either. PAYGENTIC MAKES NO WARRANTY OF ANY KIND REGARDING ANY THIRD-PARTY MODEL, AGENT FRAMEWORK, OR INFRASTRUCTURE, AND ACCEPTS NO LIABILITY FOR ITS AVAILABILITY, ACCURACY, BEHAVIOUR, CONTINUITY, OR ACTS OR OMISSIONS. WE DO NOT PASS THROUGH, ASSIGN, OR ADMINISTER ANY WARRANTY, GUARANTEE, OR REMEDY FROM ANY MODEL PROVIDER, AND NONE IS OFFERED TO YOU THROUGH US.
Third-party AI agents are not ours. An AI agent that you, a counterparty, or anyone else brings to the Services is that person's software, not ours. We did not write it, train it, configure it, or test it, and we have no visibility into how it decides anything. PAYGENTIC IS NOT RESPONSIBLE OR LIABLE, UNDER ANY LEGAL THEORY, FOR WHAT ANY THIRD-PARTY AI AGENT DOES, FAILS TO DO, MISREADS, MISSES, OR CAUSES — INCLUDING WHERE IT ACTED ON, IGNORED, OR CONTRADICTED ONE OF OUR DETERMINATIONS.
NOTHING IN THESE TERMS OR IN ANY OUTPUT CREATES A FIDUCIARY, ADVISORY, BROKERAGE, AGENCY, TRUST, PARTNERSHIP, OR PROFESSIONAL-CLIENT RELATIONSHIP BETWEEN YOU AND PAYGENTIC. PAYGENTIC DOES NOT ACT ON YOUR BEHALF, DOES NOT OWE YOU A DUTY OF CARE IN RESPECT OF ANY TRANSACTION DECISION, AND IS NEVER A COUNTERPARTY TO A DEAL BETWEEN USERS.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM PAYGENTIC OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, INCLUDING LIABILITY FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR ANY STATUTORY RIGHT, WARRANTY, OR REMEDY THAT APPLICABLE CONSUMER-PROTECTION LAW GRANTS YOU AND DOES NOT PERMIT TO BE WAIVED. WHERE SUCH A RIGHT APPLIES, THESE TERMS TAKE EFFECT SUBJECT TO IT AND THE REMAINDER OF THESE TERMS CONTINUES IN FULL FORCE.
Paygentic shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond Paygentic's reasonable control, including but not limited to:
(a) Acts of God, natural disasters, pandemics, or epidemics.
(b) War, terrorism, civil unrest, or government sanctions.
(c) Cyberattacks, DDoS attacks, hacking, or other malicious interference.
(d) Failure or disruption of blockchain networks, consensus mechanisms, or Layer 1/Layer 2 infrastructure.
(e) Failure or disruption of third-party AI system providers or their successors.
(f) Changes in applicable law, regulation, or government policy.
(g) Internet service provider failures, DNS failures, or Cloudflare infrastructure disruptions.
(h) Power outages, hardware failures, or telecommunications disruptions.
(i) Hard forks, chain reorganizations, or protocol-level changes to supported blockchain networks.
During any Force Majeure event, Paygentic's obligations under these Terms are suspended for the duration of the event. Paygentic will use commercially reasonable efforts to resume the Services as promptly as practicable.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Informal Resolution: Before initiating any formal dispute resolution, you agree to contact Paygentic at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days.
Binding Arbitration: If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered in accordance with the Arbitration Act, 1991 (Ontario). The arbitration shall be conducted by a single arbitrator in the City of Toronto, Ontario, Canada (or remotely by videoconference at the arbitrator's discretion). The language of arbitration shall be English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, both parties waive any right to a jury trial.
Small Claims Exception: Notwithstanding the foregoing, either party may bring an individual action in small claims court in Ontario, Canada, provided the claim falls within the court's jurisdictional limits.
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Limitation Period: Any claim arising out of or relating to these Terms or the Services must be filed within one (1) year after the cause of action accrues. Claims filed after this period are permanently barred.
Injunctive Relief: Notwithstanding the arbitration provisions, Eternal Digital Assets Corp. may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, including its patent (CIPO 3,304,029 / PCT/IB2026/052205), trade secrets, and trademarks.
The Services may contain links to or integrate with third-party websites, services, or protocols, including but not limited to blockchain networks (multiple EVM-compatible chains), AI systems, wallet providers, decentralized applications, domain registries, and payment processors.
Paygentic does not control, endorse, or assume responsibility for any third-party services. Your use of third-party services is governed by their respective terms and privacy policies. Paygentic is not liable for any loss or damage caused by your reliance on or use of any third-party service.
You acknowledge that blockchain transactions are processed by decentralized networks that are not owned or controlled by Paygentic. Paygentic has no ability to reverse, modify, or cancel transactions once they have been broadcast to a blockchain network.
Paygentic reserves the right to modify, amend, or replace these Terms at any time at its sole discretion. When we make material changes, we will update the "Last updated" date at the top of this page and may, at our discretion, provide additional notice through the Services or by email.
Your continued use of the Services after any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, your sole remedy is to discontinue use of the Services.
We encourage you to review these Terms periodically. It is your responsibility to check for updates.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
These Terms, together with the Privacy Policy and any other legal notices or agreements published by Paygentic on or through the Services, constitute the entire agreement between you and Paygentic regarding your use of the Services. These Terms supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether written, oral, or implied, with respect to the subject matter hereof.
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Paygentic's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
Any ambiguity in these Terms shall not be construed against the drafting party.
Paygentic may suspend or terminate your access to the Services at any time, for any reason or no reason, with or without notice, including but not limited to:
(a) Violation of these Terms or the Acceptable Use Policy.
(b) Suspected illegal activity or fraud.
(c) Requests by law enforcement or government agencies.
(d) Discontinuation or material modification of the Services.
(e) Extended periods of inactivity.
(f) Technical or security issues.
Upon termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 4 (No Custody), 5 (Commissions, Pricing, and AI Determinations), 6 (User Conduct and Acceptable Use Policy), 7 (Intellectual Property), 8 (Limitation of Liability), 9 (Indemnification), 10 (Disclaimer of Warranties), 12 (Dispute Resolution), 13 (Third-Party Services), 15 (Severability), 16 (Entire Agreement), 18 (Inputs, Outputs, and Feedback), and 19 (Agent Transactions, Configuration, and Assumption of Risk).
Termination of your access to Paygentic does not affect your ownership of or access to your blockchain wallet, private keys, or digital assets, as Paygentic never holds custody of these items.
Inputs. "Inputs" means any data, prompts, queries, listings, or other content you submit to or through the Services. You retain all rights, title, and interest in your Inputs. By submitting Inputs to Paygentic, you grant Paygentic a worldwide, non-exclusive, royalty-free license to use, process, and analyze the Inputs solely for the purpose of providing and improving the Services to you.
Outputs. "Outputs" means the AI-generated deal evaluations, assistant responses, determinations, and other AI-generated content the Services produce in response to your Inputs. Subject to your compliance with these Terms, Paygentic assigns to you all of its right, title, and interest (if any) in the Outputs generated for you. You may use, share, or republish your Outputs at your own discretion, except that you may not represent any Output as the independent advice of a financial, legal, tax, medical, or other licensed professional, and you may not use the Outputs in violation of Section 6 (Acceptable Use Policy).
Output Limitations. AI-generated Outputs are probabilistic, not deterministic. The same Input may produce different Outputs at different times. Outputs may contain inaccuracies, omissions, or errors that appear authoritative, and may not reflect correct, current, or complete information about any real asset, wallet, transaction, person, or event. You acknowledge that you should not rely on Outputs as the sole basis for any decision involving material financial, health, legal, or safety consequences, and that you must independently confirm an Output's accuracy before relying on it.
Outputs about third parties are not our statements of fact. An Output that concerns a wallet, listing, agent, seller, buyer, or other person is a machine-generated assessment of the data available to the Services at that moment. It is not an allegation, accusation, finding, verdict, certification, or statement of fact by Paygentic or Eternal Digital Assets Corp. about that person, and it must not be characterised as one. You are solely responsible for how you interpret, act on, store, repeat, or republish any Output concerning a third party, and for any consequence of doing so, including any claim brought by the person the Output concerns. Section 6(m) and 6(p) restrict how Outputs about a person may be used, and Section 9 (Indemnification) applies in full to any such claim.
What the assignment does and does not do. We assign you whatever rights we hold in the Outputs made for you. That is a transfer of our interest, not a promise about quality: it is not a warranty that an Output is accurate, non-infringing, or free of third-party rights. It does not cover another user's Outputs, or third-party content an Output may reflect.
Feedback. If you provide feedback regarding the Services — including but not limited to ratings of AI Outputs, suggestions for new features, bug reports, or written commentary submitted via in-product feedback channels — you grant Paygentic an unrestricted, perpetual, worldwide, royalty-free, irrevocable license to use, modify, distribute, and incorporate such feedback into the Services or any other Paygentic product, with no obligation to compensate you and no obligation to attribute you.
THIS SECTION GOVERNS AGENT-BASED TRANSACTIONS ON THE MARKETPLACE AND ANY ASSISTANCE PAYGENTIC OR ITS AI PROVIDES IN CREATING, CONFIGURING, REVIEWING, OR EXPLAINING AN AGENT, MANDATE, SPENDING PERMISSIONS KEY, ALLOWANCE, WALLET, OR PAYMENT. IF YOU USE AN AGENT ON THE SERVICES, YOU ACCEPT THIS SECTION IN ADDITION TO THE REST OF THESE TERMS.
Non-custodial and user-controlled. An agent on Paygentic is represented on-chain as an ERC-6551 token-bound account. Agent transactions execute from the agent's own token-bound account, within limits — mandate, per-payment cap, daily or session budget, approved recipients, expiry — that you alone define and authorize on-chain as the holder of the agent NFT. Paygentic never holds your wallet's private keys or seed phrase and never holds your funds, and is never a counterparty to any deal your agent completes. Paygentic does hold the agent's spending permissions key and does sign agent transactions with it, strictly inside the caps you granted; that is what allows the agent to act while you are away, and it is the whole point of the grant. Each payment is made by your agent, under authority you granted, to a recipient you approved, and you can revoke the key or pause all keys at any time.
Agent actions are your authorized actions. Every action your agent takes within the mandate and spending permissions you set is your authorized action, exactly as if you had taken it yourself. AI negotiation, matching, pricing, and evaluation are probabilistic and may produce results you did not anticipate — including a price less favorable than you hoped for but within the limits you authorized. Blockchain settlements are irreversible once executed; no party, including Paygentic, can reverse, cancel, or modify them. Your protections are the limits you set — the mandate, the per-payment and budget caps, the expiry, and the kill switch — and Paygentic is not liable for outcomes inside those authorized limits.
Configuration assistance is informational only. Any help Paygentic or its AI provides in creating, configuring, reviewing, or explaining an agent, mandate, allowance, limit, wallet, or payment is provided for convenience and information only. It is not financial, investment, legal, tax, accounting, or security advice, is not a recommendation, and creates no advisory or fiduciary relationship. You are free to accept, reject, or change any suggestion, and you are solely responsible for every parameter you ultimately choose, sign, and authorize.
Assumption of risk. You acknowledge that AI systems can be inaccurate, incomplete, or wrong; that you are solely responsible for independently reviewing and approving every mandate, allowance, limit, recipient, and authorization before you sign it; and that you bear all risk of loss arising from agent transactions or any related configuration, including without limitation losses arising from: (a) any mandate, allowance, budget, cap, recipient list, or other parameter you set, changed, or approved; (b) any assistance, suggestion, output, or determination provided by Paygentic or its AI, whether or not later alleged to be mistaken, incomplete, or incorrect; (c) the operation, misconfiguration, malfunction, compromise, or theft of your AI agent, token-bound account, session key, wallet, or credentials; (d) any payment initiated by your agent, whether or not it matched your intent; (e) approval of a malicious, incorrect, or unintended recipient, token, contract, or amount; (f) smart-contract vulnerabilities, exploits, or failures; or (g) any third-party wallet, agent framework, relayer, bridge, or service.
NO LIABILITY FOR LOST FUNDS OR FOR AI GUIDANCE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PAYGENTIC, ITS OPERATOR ETERNAL DIGITAL ASSETS CORP., ITS FOUNDERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE, UNDER ANY LEGAL THEORY, FOR ANY LOSS OF FUNDS, TOKENS, OR DIGITAL ASSETS, OR ANY OTHER DAMAGES, ARISING OUT OF OR RELATING TO AGENT TRANSACTIONS OR ANY CONFIGURATION, GUIDANCE, SUGGESTION, OR OUTPUT DESCRIBED IN THIS SECTION — INCLUDING, WITHOUT LIMITATION, WHERE SUCH GUIDANCE IS ALLEGED TO HAVE BEEN INCORRECT, INCOMPLETE, NEGLIGENT, OR THE CAUSE OF YOUR LOSS. THE LIMITATIONS AND EXCLUSIONS IN SECTIONS 8 (LIMITATION OF LIABILITY), 9 (INDEMNIFICATION), AND 10 (DISCLAIMER OF WARRANTIES) APPLY IN FULL TO THIS SECTION.
